Jeff R. Joyce is a founding member of the firm and focuses his practice
on corporate transactions and litigation. Prior to founding JT&K, Mr. Joyce practiced with Morris, Manning
& Martin, LLP in Atlanta and was Senior In-House Counsel for
NASDAQ-listed AMRESCO, Inc. managing structured
finance transactions valued in excess of $35 billion involving most every
major Wall Street investment bank including Lehman Brothers, Morgan
Stanley, Salomon, Nomura, CSFB, and Merrill
Lynch among a few.
As head of the firm’s litigation department, Mr. Joyce concentrates
his litigation practice on corporate and commercial litigation including
securities litigation, complex commercial litigation, intellectual property
rights and catastrophic personal injury claims. Mr. Joyce has acted as
lead counsel in numerous business matters including representation of
officers and directors in securities litigation, commercial lenders,
contract disputes, and employee restrictive covenants.
In addition, Mr. Joyce’s corporate transactional practice focuses
in corporate finance transactions with a focus on strategic and complex
transactions for growing technology and telecommunications companies,
including corporate governance matters, mergers and acquisitions,
information technology transactions, strategic alliances and outsourcing
transactions. He also counsels companies regarding disclosure and
corporate governance issues, and he conducts special investigations and
independent reviews involving such matters.
Mr. Joyce frequently speaks and writes on topics in technology and
finance and has lectured in university programs on topics including
structured finance, litigation and capital raising
for small businesses.
Mr. Joyce is a 1988 graduate of Mercer University School of Law, a member
of the Mercer Moot Court Board and 1997 graduate of the Robinson School
of Business at Georgia
State University’s
Graduate School of Business where he received his Masters in Business
Administration.

Mr. Thrasher represents a diverse client base of privately held companies
and their owners in connection with a wide variety of corporate matters,
including corporate formation and organizational issues, the acquisition
and disposition of companies and their assets, corporate governance
matters, employee and executive compensation issues, and licensing and
distribution issues.
Representative transactions include the acquisition of multiple private
companies by a publicly held oil and gas company for cash, debt and equities,
the merger of a privately held software technology company into a
publicly held disease management company, the merger of two
privately-held audio-visual consulting services companies, the sale and
merger of a leading privately held plumbing and a/c services company into
a publicly held company, the management led buyout and reorganization of
a leading event management company and the acquisition and reorganization
of a privately held technology consulting company. Mr. Thrasher has
spoken to various business groups on corporate governance and securities
issues. He edited Legal Power: a Software Executive’s Guide to Key
Legal Concepts.

Andrew joined the firm as a partner in 2004 after
practicing law in Atlanta for twelve years
with Atlanta
law firms Morris, Manning & Martin, LLP and Chamberlain, Hrdlicka, White, Williams & Martin, LLP. Andrew
focuses his practice on corporate law, including entity organization,
mergers and acquisitions and general business matters, commercial real
estate and estate planning. Andrew provides dedicated legal counsel to
entrepreneurs, professionals and businesses in a variety of industries.
Andrew has handled a broad range of transactions,
including asset sales, mergers, stock acquisitions and joint venture
agreements. Representative clients include restaurant franchisees, motor
vehicle dealerships, medical professionals, real estate brokers, software
developers, construction companies and distributors of equipment and
materials. In addition to closing particular transactions, Andrew
counsels clients on a continuing basis regarding employment matters,
including restrictive covenants, protection of proprietary information
and equity incentive plans, shareholders agreements, choice of entity and
general tax matters. Andrew has extensive experience in areas of
particular importance to owners of family businesses, including succession
planning and minimization of estate taxes.
In the area of commercial real estate, Andrew has
represented real estate developers and other businesses in a wide variety
of real estate transactions, including land acquisitions for the
development of master planned residential communities, the sale of
shopping center outparcels throughout the Southeast, the purchase and
sale of industrial/warehouse properties, and numerous §1031 exchange
transactions. Andrew also represents landlords and tenants in negotiating
office, shopping center and industrial property leases. Andrew’s
recently closed real estate transactions include the acquisition of raw
land and development of three medical office buildings, purchase of a
site for a recreational vehicles dealership, sale of a Buckhead parcel for construction of a residential
tower and representation of a container manufacturer in the lease of
65,000 square feet of warehouse space.
Andrew has authored articles in trade publications and
spoken to various business and civic groups regarding estate planning and
other legal issues of interest to business owners.

Matthew M. Liss is a partner
practicing in the areas of civil and commercial litigation. He has
litigated a broad range of cases in both federal and state courts. Mr. Liss has experience representing companies and
individuals in various litigation matters including contract disputes,
business torts, commercial real estate, construction law and bond claims,
fraud, securities law, shareholder disputes, warranty claims and
employment litigation.
Mr. Liss is admitted to
practice in both the State of Georgia
and the State of Illinois.
He is a member of the State Bar of Georgia, the Illinois State Bar
Association and the American Bar Association (Business Law, Healthcare
Law and Taxation Sections).
Prior to Joyce, Thrasher & Kaiser, Mr. Liss was a partner in a large Atlanta law firm. He previously served as
in house general counsel for a regional medical equipment provider. He
graduated from Southern Illinois University in 1991 with dual bachelor's
degrees in Accounting and Finance. In 1994, he received his Juris Doctorate from Southern Illinois University, School of Law. Concurrent with his Juris Doctorate, Mr. Liss
earned his Master’s Degree in Accountancy (1st in his class) from
Southern Illinois University College of Business and Administration.

Ms. Worth works with the firm’s litigation practice representing
clients in Atlanta and throughout Georgia
and the nation in federal and state trial and appellate courts. While she
has broad experience litigating diverse matters, she focuses primarily on
commercial and business litigation, construction disputes, personal
injury and tort law. Ms. Worth also prosecutes and defends claims brought
under Title VII of the Civil Rights Act and other employment related
statutes and accepts select criminal defense representations.
Ms. Worth has extensive litigation experience in and out of the court
room. Prior to joining the firm, Ms. Worth was a senior associate with
Parks, Chesin and Walbert,
where she was responsible for employment and civil rights litigation with
an emphasis on commercial law and complex business transactions. After
working with Parks, Chesin & Walbert, she gained extensive experience defending
labor and employment claims and class action lawsuits brought in public
accommodation cases and civil rights lawsuits. Ms. Worth has secured
numerous jury verdicts and out of court settlements for clients in cases
ranging from breach of contract to sexual harassment.
Prior to re-entering private practice, Ms. Worth served as a Senior
Assistant District Attorney for Fulton
County, Georgia.
Ms. Worth was assigned as the lead prosecutor to Senior Judge Doris
Downs’ courtroom. Ms. Worth never failed to obtain a conviction on all
trials for which she was sole/ lead counsel.
Ms. Worth has also served as Adjunct Professor of Law for John Marshall Law
School during their
review for accreditation status where she taught evidence, legal writing
and criminal procedure.
